JOHO Life Spaces — Terms & Conditions

1. Definitions
“Company” refers to JOHO Life Spaces. “Client” refers to the homeowner or entity engaging the Company for construction or related services. “Project” refers to the agreed scope of construction, interiors, renovation, or repair work. “BOQ” means Bill of Quantities — the detailed, item-wise cost document prepared before construction begins. “ECG™” refers to JOHO Life Spaces’ proprietary End-to-End Construction Guarantee system.
2. Scope of Services
The Company offers the following services, each governed by a separate project-specific agreement:
- Turnkey Residential Home Construction
- Turnkey Home Interiors
- Commercial Construction
- Home Repairs & Renovations
- Architect Execution Partnership
The scope, specifications, and deliverables for each project shall be defined in the individual contract/agreement signed between the Company and the Client prior to commencement of work.
3. Two-Stage Pricing Model
Stage 1 – Package Selection (Indicative Pricing)
The Client selects a base construction package (JOHO Comfort or JOHO Signature) based on published material and execution specifications. The per-square-foot rates indicated at this stage are indicative only and intended for budget planning purposes. They do not constitute the final contract price.
Stage 2 – BOQ-Based Final Cost
Once architectural, structural, and MEP drawings are finalised, a detailed Bill of Quantities is prepared with item-wise measurements and pricing. The final construction cost is locked at this stage and shall not change unless the Client modifies the approved scope or specifications.
The Company shall bear no responsibility for budget expectations formed solely on Stage 1 indicative rates without a finalised BOQ.
4. Contract and Payment Terms
A formal construction agreement shall be executed before the commencement of any work. Payment schedules shall be milestone-based and defined in the project agreement. Typical milestones may include: agreement signing, foundation completion, plinth level, floor-wise slab completion, plastering, finishing, and handover. Delayed payments by the Client may result in corresponding delays to the project timeline, for which the Company shall not be held liable. All payments are to be made via bank transfer or cheque. Cash payments above limits prescribed under applicable law are not accepted.
5. Scope Changes and Additional Works
Any changes to approved drawings, specifications, or scope after BOQ finalisation shall be documented through a written Change Order. Additional costs arising from scope changes shall be charged transparently at actuals or at agreed rates. The Company shall not be obligated to execute scope changes without written approval and corresponding payment confirmation from the Client.
Items listed as “Additionally Charged” in the package specification document shall be included in the project only upon explicit written request and agreement by both parties.
6. Timelines and Project Delivery
The project timeline shall be stated in the construction agreement and is subject to the following conditions: timely receipt of payments per the agreed schedule; availability of clear site access; timely approvals, permits, and NOCs from the Client or relevant authorities; force majeure events including weather disruptions, material supply shortages, or government-mandated stoppages. The Company will communicate delays proactively through the R’dash App and WhatsApp updates. Extensions due to Client-caused delays or force majeure shall not constitute a breach by the Company.
7. ECG™ System Governance
All projects undertaken by the Company are governed by the ECG™ (End-to-End Construction Guarantee) framework, which includes independent third-party inspections at critical structural stages, live CCTV access and daily progress updates via the R’dash App, structural design review before execution, documented decision-making at every key stage, and quality tests including concrete strength, water bond, and pressure tests as specified in the package. Third-party inspection reports shall be shared with the Client at relevant stages.
8. Material Specifications and Substitutions
All material specifications are defined in the selected package and BOQ. In the event that a specified brand or product is unavailable due to supply constraints, the Company shall substitute with an equivalent product of the same or higher grade, with prior intimation to the Client. Material rates stated in the package document are indicative at the time of publishing. Final rates shall be as per the BOQ.
9. Warranties
The Company provides the following written warranties from the date of handover:
• Structural Warranty (all structural elements) | 15 years |
• Waterproofing Warranty | 3 years |
• Anti-Termite Treatment Warranty | 5 years |
• Workmanship Warranty | 1 year |
Warranties are void if the Client undertakes modifications, repairs, or extensions to the structure without the Company’s prior written consent. Warranty claims must be submitted in writing within the warranty period. The Company’s obligation is limited to rectification of defects attributable to construction quality; it does not cover damage arising from natural disasters, misuse, or third-party interference.
10. Client Responsibilities
The Client is responsible for providing clear, unencumbered site access throughout the construction period; obtaining all statutory approvals, plan sanctions, and building permits from local authorities (CMDA/DTCP/TNRERA etc.) unless separately contracted; ensuring soil test and survey access at the commencement stage; timely decisions on material selections, finishes, and design approvals to avoid delays; and settling electricity, water, and other utility connections unless included in the agreed scope.
11. Intellectual Property
All architectural drawings, structural designs, MEP drawings, 3D visuals, and project documentation prepared by the Company or its consultants remain the intellectual property of the Company. These documents are provided to the Client for use in the contracted project only and may not be reproduced, shared, or used for other projects without written permission.
ECG™ is a proprietary trademark of JOHO Life Spaces. Unauthorised use of this name, framework, or system documentation is prohibited.
12. Confidentiality
Both parties agree to keep project-specific pricing, BOQ details, and proprietary system information confidential and not to disclose them to third parties without mutual written consent.
13. Dispute Resolution
In the event of a dispute, both parties shall first attempt resolution through good-faith discussions within 30 days of the dispute being raised in writing. If unresolved, the matter shall be referred to arbitration under the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be Chennai, Tamil Nadu. The language of arbitration shall be English.
14. Governing Law
These Terms & Conditions and all project agreements shall be governed by the laws of India. Jurisdiction for all matters shall be the courts of Chennai, Tamil Nadu.
15. Limitation of Liability
The Company’s liability in any circumstance shall be limited to the value of the contracted project. The Company shall not be liable for indirect, consequential, or incidental losses, including loss of rental income, business loss, or emotional distress, arising from construction delays or disputes.
16. Termination
Either party may terminate the agreement with 30 days’ written notice. In the event of Client-initiated termination, the Client shall pay for all work completed to date, materials procured, and a reasonable demobilisation fee as defined in the project agreement. In the event of Company-initiated termination due to Client default (including non-payment), all outstanding amounts become immediately due and payable.
17. Website and Digital Communications
Content on www.joholifespaces.com, including package rates, specifications, and cost estimator outputs, is for general guidance only and does not constitute a formal quotation or binding offer. The Company reserves the right to update website content without prior notice. Enquiries or communications via website forms, WhatsApp, or email are not binding until confirmed through a formal agreement.
These Terms & Conditions are to be read alongside the project-specific construction agreement. In case of any conflict, the project agreement shall prevail.
